A 36% single-day stock plunge has triggered a securities investigation into Cardinal Infrastructure Group Inc. Shareholders are now questioning whether the company misled them about operational costs and equipment dependencies during its recent secondary offering, which raised over $318 million just weeks before the firm's financial results collapsed.

The investigation, spearheaded by the litigation firm Hagens Berman, centers on whether Cardinal obscured mounting financial pressures while promoting an $866 million project backlog to investors. On June 24, 2026, the company sold 4.6 million shares at $73.00 each, touting strong demand and execution capabilities in investor updates released throughout May.

Discrepancies emerged on August 11, when Cardinal’s second-quarter earnings report revealed a 51% drop in adjusted earnings per share, falling to $0.26 against analyst expectations of $0.47. Profitability metrics suffered significantly, with gross profit margins contracting to 15.9% from 21.3% the previous year. Management blamed the downturn on labor shortages and rising subcontractor costs, forcing a downward revision of full-year EBITDA margin targets to 16%–18%.

Partner Reed Kathrein is now examining the timeline of these disclosures to determine if the company failed to provide adequate warnings about its reliance on expensive third-party equipment and non-turnkey expansion risks at the time of the offering. The firm is currently seeking contact from investors who suffered substantial losses, as well as potential whistleblowers with non-public information regarding the company's internal operations.
